Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and PROCOMM SYSTEMS SRL, a company registered in Romania ("Company", "we", "us", "our"), governing your access to and use of the SysMOD Discord bot, web dashboard, API, and all related services (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE IN ANY WAY, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU MUST NOT USE THE SERVICE.

1. Service Description

SysMOD is a Discord bot platform providing moderation, auto-moderation, analytics, ticketing, giveaway, and community management tools. The Service includes the Discord bot application and the web-based administration dashboard. The Service interacts with third-party platforms, including but not limited to Discord (operated by Discord Inc.) and Valve/Facepunch (for Rust game integrations), over which we have no control.

2. Eligibility

  • You must be at least 13 years old (or 16 in EU member states where applicable) to use the Service. By using the Service, you represent and warrant that you meet this age requirement.
  • You must have a valid Discord account in good standing.
  • You must have the necessary permissions (including "Manage Server") on your Discord server to add and configure the bot. You represent that you have the authority to bind the server owner and all server members to these Terms insofar as the bot processes their data.
  • If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Account and Access

  • Access to the dashboard requires authentication via Discord OAuth. We do not create separate user accounts. Your Discord credentials are managed entirely by Discord Inc.
  • You are solely responsible for maintaining the confidentiality and security of your Discord account. Any actions taken through your authenticated session are deemed to be authorized by you.
  • We reserve the right to suspend, restrict, or permanently terminate your access to the Service at any time, for any reason or no reason, at our sole discretion, with or without prior notice.
  • We may block individual users, IP addresses, or entire Discord servers from accessing the Service without explanation or liability.

4. Acceptable Use

You agree that you will not, and will not permit others to:

  • Use the Service in violation of Discord's Terms of Service, Community Guidelines, or any applicable law or regulation
  • Use the Service to harass, abuse, threaten, stalk, or otherwise violate the rights of any person
  • Abuse the bot's moderation features (ban, kick, timeout, etc.) to target, discriminate against, or harass users
  • Attempt to exploit, reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Interfere with, disrupt, or create an undue burden on the Service or its infrastructure
  • Use automated scripts, bots, scrapers, or other automated means to interact with the Service in unauthorized ways
  • Resell, sublicense, lease, or redistribute access to the Service without our written authorization
  • Use the Service for any illegal, fraudulent, or unauthorized purpose
  • Transmit any malware, viruses, or other harmful code through or to the Service
  • Circumvent or attempt to circumvent any security measures, rate limits, or access controls implemented by the Service

Violation of these restrictions may result in immediate termination of access without notice and may be reported to relevant authorities.

5. User Responsibilities

You are solely responsible for all actions performed by the bot in your Discord server. This includes but is not limited to:

  • All moderation actions (bans, kicks, timeouts, warnings) executed by the bot, whether triggered automatically by auto-moderation rules you configured, or manually by server staff through the dashboard or slash commands
  • The configuration and calibration of auto-moderation thresholds, filters, and actions
  • Any messages, embeds, announcements, or other content sent by the bot on your behalf
  • Ensuring that your use of the bot's features complies with Discord's Terms of Service and all applicable laws in your jurisdiction
  • Managing user expectations in your server regarding data collection (analytics, logging, tickets) and obtaining any necessary consent from your server members
  • Regularly reviewing and updating your bot configuration to ensure it operates as intended

The Company provides the tools; you are responsible for how you use them. We accept no liability for the consequences of your configuration choices or the actions of your server staff.

6. Service Availability and Beta Disclaimer

THE SERVICE IS CURRENTLY IN BETA AND IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND.

  • We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free.
  • We do not guarantee that the results obtained from the Service will be accurate, reliable, or meet your expectations.
  • We may modify, suspend, or discontinue any feature, module, or the entire Service at any time, temporarily or permanently, with or without notice.
  • Beta features may contain bugs, errors, or inaccuracies that could result in unintended behavior including but not limited to: incorrect moderation actions, data loss, message delivery failures, or configuration resets.
  • We are not responsible for any downtime, data loss, or service interruption caused by third-party platform outages (including Discord), hosting provider issues, network failures, or force majeure events.
  • Scheduled and unscheduled maintenance may occur at any time without prior notice.

7. Free Beta Period

During the beta period, all features are available at no cost. We reserve the right to introduce paid subscription tiers, modify pricing, or restrict features at any time. There is no guarantee that free access will continue indefinitely. We will make reasonable efforts to notify users at least 14 days before any pricing changes take effect, but failure to provide such notice shall not create any liability.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood our data practices. You consent to the collection, processing, and storage of data as described in the Privacy Policy.

9. Intellectual Property

  • The SysMOD name, logo, code, design, documentation, and all related intellectual property are and remain the exclusive property of PROCOMM SYSTEMS SRL. Nothing in these Terms grants you any right, title, or interest in our intellectual property.
  • Content you create through the Service (embeds, forms, configurations, etc.) remains yours. However, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, process, store, display, and transmit your content solely as necessary to provide and improve the Service.
  • You represent and warrant that you own or have the necessary rights to all content you submit through the Service and that such content does not infringe the rights of any third party.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS", "AS AVAILABLE", AND "WITH ALL FAULTS". PROCOMM SYSTEMS SRL EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES of merchantability, fitness for a particular purpose, title, and non-infringement
  • WARRANTIES OF ACCURACY — we do not warrant that AI-powered moderation, analytics, or any automated feature will be accurate, complete, or error-free
  • WARRANTIES OF AVAILABILITY — we do not warrant uninterrupted or error-free operation
  • WARRANTIES OF SECURITY — while we implement reasonable security measures, we do not warrant that the Service is immune to unauthorized access, hacking, data breaches, or other security incidents
  • WARRANTIES OF COMPATIBILITY — we do not warrant that the Service will be compatible with all Discord features, updates, or third-party integrations at all times

You acknowledge that you use the Service at your own risk and that you are solely responsible for any damage to your Discord server, your computer systems, or loss of data that results from your use of the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROCOMM SYSTEMS SRL, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, exemplary, or punitive damages
  • Any loss of profits, revenue, data, goodwill, or business opportunity
  • Any loss of or damage to data, server configurations, or Discord server settings
  • Any incorrect, unintended, or erroneous moderation actions (bans, kicks, timeouts, message deletions) performed by the bot, whether due to misconfiguration, software bugs, AI errors, or any other cause
  • Any damages arising from auto-moderation false positives or false negatives, including AI-powered toxicity detection
  • Any service downtime, interruptions, or degraded performance
  • Any unauthorized access to or alteration of your data or transmissions
  • Any damages arising from Discord API changes, Discord outages, or changes to Discord's Terms of Service
  • Any damages resulting from third-party actions, including but not limited to hacking, phishing, or social engineering targeting your server
  • Any cost of procurement of substitute services
  • Any other matter relating to the Service, regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise)

IN ANY CASE, THE TOTAL AGGREGATE LIABILITY OF PROCOMM SYSTEMS SRL FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) TEN EUROS (€10.00).

THE FOREGOING LIMITATIONS SHALL APPLY EVEN IF THE ABOVE-STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND REGARDLESS OF WHETHER PROCOMM SYSTEMS SRL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Assumption of Risk

You expressly acknowledge and agree that your use of the Service is at your sole risk. You understand that:

  • Automated moderation systems (including AI-powered features) are inherently imperfect and may produce false positives (incorrectly flagging innocent content) or false negatives (failing to detect harmful content)
  • Bot actions in your server are executed based on your configuration and are your responsibility
  • The Service depends on third-party platforms (Discord, hosting providers, etc.) that are outside our control and may experience outages or changes at any time
  • Data processed by the Service may be lost, corrupted, or become inaccessible due to technical failures, and you are responsible for maintaining your own backups
  • Beta software may behave unexpectedly and you accept this risk by using the Service

13. Indemnification

You agree to defend, indemnify, and hold harmless PROCOMM SYSTEMS SRL, its directors, officers, employees, agents, partners, suppliers, and affiliates from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any applicable law, regulation, or third-party right
  • Any moderation actions performed in your server using the Service, including actions that result in complaints, disputes, or legal claims from your server members
  • Any content you create, submit, or distribute through the Service
  • Any claim that your use of the Service caused damage to a third party
  • Your failure to obtain necessary consent from your server members for data processing performed by the bot

This indemnification obligation shall survive the termination of these Terms and your use of the Service.

14. Third-Party Services and Integrations

The Service integrates with and depends on third-party platforms and services, including but not limited to Discord, Facepunch/Rust, and various hosting and infrastructure providers. We are not responsible for:

  • The availability, accuracy, security, or performance of any third-party service
  • Changes to third-party APIs, terms of service, or policies that may affect the Service's functionality
  • Any data processed, stored, or transmitted by third-party services
  • Any disputes between you and third-party service providers

Your use of third-party services is governed by their respective terms and policies.

15. Termination

  • You may stop using the Service at any time by removing the bot from your server and ceasing to access the dashboard.
  • We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
  • Upon termination, your right to use the Service ceases immediately. We may delete your configuration data, logs, and all associated data at any time after termination without further notice or obligation.
  • Sections 10 (Disclaimer), 11 (Limitation of Liability), 12 (Assumption of Risk), 13 (Indemnification), 16 (Governing Law), and this provision shall survive any termination of these Terms.

16. Governing Law and Dispute Resolution

  • These Terms are governed by and construed in accordance with the laws of Romania, without regard to its conflict of law principles.
  • Any dispute arising out of or relating to these Terms or the Service shall be exclusively resolved in the competent courts of Romania.
  • You agree to waive any objection to the jurisdiction and venue of such courts.
  • Nothing in these Terms shall limit your rights under mandatory consumer protection laws of the European Union or your country of residence that cannot be waived by contract.
  • Before initiating any legal action, you agree to first contact us at legal@procomm.ro and attempt to resolve the dispute informally for at least 30 days.

17. Modifications to Terms

We reserve the right to modify these Terms at any time at our sole discretion. Changes will be effective upon posting to this page. Your continued use of the Service after any modifications constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically. We may, but are not obligated to, notify users of material changes through the dashboard or Discord bot.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and PROCOMM SYSTEMS SRL regarding the Service and supersede all prior agreements, understandings, negotiations, and discussions, whether written or oral.

20. No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of PROCOMM SYSTEMS SRL.

21. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, riots, pandemics, government actions, power failures, internet or telecommunications failures, Discord platform outages, cyberattacks, or any other force majeure event.
